Overview

Please read the Terms of Service carefully before you start using the Talencer website and services. By using the website, creating an account, or by clicking to accept or agree to these Terms of Service, you (on behalf of yourself or your organization) accept and agree to be bound by these Terms of Service, Talencer Payment Terms, Talencer Community Standards, and any additional policies and guidelines (collectively referred to as the "Terms"). If you do not agree to these Terms, you must not access or use the Talencer website. This agreement (the "Agreement") is made between Talencer, the freelance recruiter or seller registered on the Talencer platform (referred to as "Recruiter"), and the purchaser of recruiting services (referred to as "Client").

Definitions

  • Talencer: The owners & company of the Talencer.com & Talencer.io websites and all services appended to them.
  • Client: is referred to the buyer of Talencer services, who posts and delivers a job request to recruiters registered with Talencer.
  • Recruiter: is referred to as the seller of recruitment services registered with Talancer
  • Candidate: An individual presented by a Recruiter for potential employment with a Client.
  • Introduction: The act of a Recruiter sharing identifiable information about a Candidate with the Client.
  • Placement: Occurs when the Client hires a Candidate for employment, either temporarily or permanently.

Scope of Agreement

"This Agreement constitutes the complete understanding between Talencer, the Recruiter, and the Client and can only be amended through mutual consent as communicated on the Talencer platform.

Fee Structure & Service Charges

  • The total Placement fee is 5% of the Candidate’s expected first-year fixed gross remuneration.
  • Talencer's service charge is 15% of the total Placement fee.
  • The Recruiter's Placement Fee is calculated as the Total Placement fee minus Talencer's Service Charge and is payable only upon successful placement of a Candidate.
  • The total Placement Fee includes the base salary and all allowances (e.g., car, housing, education, equity).
  • A Client Commitment Fee of $50 is required upon job request submission and Recruiter selection. This is non-refundable, however, if the job request leads to a successful placement, this amount will be deducted from the total Placement fee.
  • Talencer has the right to mediate and resolve any disputes amicably and make the final decision on disputes.

Introduction, Placement and Ownership

  • An Introduction occurs when Recruiter provides identifiable information about a Candidate to the Client.
  • A placement fee is applicable when a client identifies a recruiter on Talencer and instructs a job request, internally or externally and if a candidate is placed through the introduction of a recruiter
  • Ownership: Placement fees are due if a Candidate is hired within 12 months following the introduction, unless the Client can provide sufficient evidence that the candidate was sourced internally up to 3 months before the job request was initiated to the recruiter.
  • If a client undertakes the recruitment services of recruiters that were registered with Talencer,

  • All introductions made by Recruiters are to be treated as confidential. Any breach resulting in a placement through a third party will result in the Client being liable for the placement fee of 5% of the Candidate’s anticipated first-year remuneration.
  • The Client agrees not to contact or hire a Recruiter’s Candidate directly without going through Talencer's established processes.

Introduction, Placement and Ownership

  • Placement Fees must be paid within 14 days from the Candidate's start date.
  • Delayed payments will incur a late fee of $200, which may be shared with the Recruiter/Talencer. Further delays may lead to legal proceedings based on the governing laws.
  • Payments can be made through the Talencer platform, bank transfer, or other methods designated to Talencer's registered account.
  • Talencer will process payments to the Recruiter via their digital wallet or bank transfer.

Circumvention /off-platform Policy

  • Talencer prohibit using the platform to initiate or facilitate a transaction and then completing that work or payment outside Talencer to avoid platform fees.
  • You may not solicit or accept payments, direct contact, or business that circumvents Talencer after an introduction on the site (messages, links to external payment, email/phone solicitations tied to an order).
  • Client and Recruiter must complete transactions and communications on Talencer. Any external methods needs to be agreed to by Talencer in writing/email.
  • Violations can lead to account suspension, loss of access to funds, and other penalties; Talencer may reclaim funds tied to circumvention.
  • Talencer may require use of on-platform features (orders, custom offers, invoices) and states it charges fees on transactions processed through the site.
  • If a user is asked to move off-platform, report it to Talencer support and keep evidence (messages).

Legal and Other Costs

  • The Client is responsible for covering any legal fees incurred by Recruiter or Talencer due to non-payment or disputes.
  • Clients and Recruiters are responsible for fulfilling their own tax obligations according to applicable laws.

Rebate Policy

  • If a Candidate's employment is terminated within the first 4 weeks, Recruiters will provide a 50% rebate of the Total Placement Fee.
  • No rebate is granted if:
    • The Recruiter is not notified in writing within 7 days of termination.
    • The termination results from redundancy.
    • Payment is overdue as stipulated in the Payment Terms.

Governing Law and Jurisdiction

  • This Agreement shall be governed by the laws of the United Arab Emirates, with disputes resolved in its courts.

Amendments

  • Talencer reserves the right to amend this Agreement and will notify all parties 14 days prior to any effective changes to allow for review and clarification.
